A silver hatchback and a sheep truck collided on the highway at Burrumbeet, about 135 kilometres west of Melbourne near Ballarat, shortly before 11.30am on Thursday.
The male driver of the car died at the scene, a police spokeswoman said.
Dozens of sheep were also killed and many more injured after the semi-trailer rolled. Many of the surviving sheep ran from the scene.
It is understood a number of the injured sheep needed to be put down.
The collision occured near the intersection of Kayleys Lane and the Western Highway.
The highway has been closed in both directions between Miners Rest and Ararat and trucks are being diverted via Avoca, the spokeswoman said.
