Police say a ute was travelling along east along the Avenue of Honour, near Woolpack Road, when it lost control about 2am.
A passenger in the car, believed to be a 22-year-old man from New Gisborne, died at the scene.
The driver, believed to be a man a 25-year-old man from Kurunjang, was taken to hospital in a serious condition.
Police were notified of the incident by somebody who attended the Bacchus Marsh police station but left before his details could be taken.
Investigators now wish to talk to that man.
